Acceptance of Terms

By accessing our website, creating an account, purchasing a subscription, or engaging us for services, you accept these Terms on behalf of yourself and any organization you represent. If you are agreeing on behalf of an organization, you represent that you have the authority to bind that organization.

Eligibility and Accounts

To use our services, you agree that:

• You are at least 18 years of age and legally able to enter into a contract
• The information you provide when registering is accurate and kept current
• You are responsible for safeguarding your account credentials
• You will notify us promptly of any unauthorized access or suspected breach

You are responsible for all activity that occurs under your account.

Acceptable Use

You agree not to:

• Use our services in violation of any applicable law, regulation, or third-party right
• Reverse engineer, decompile, or attempt to derive the source code of our software
• Resell, sublicense, or provide access to our services to third parties without our written consent
• Upload malicious code or interfere with the security, integrity, or performance of our systems
• Attempt to gain unauthorized access to our infrastructure, accounts, or data
• Use our services to generate unlawful, deceptive, harassing, or infringing content
• Use outputs to make consequential decisions about individuals without meaningful human review

We may suspend access without notice where we reasonably believe continued use presents a security, legal, or operational risk.

Fees and Payment

Unless your order form states otherwise:

• Subscription fees are billed in advance and are non-refundable except as required by law
• Professional services are invoiced as described in the applicable statement of work
• Invoices are due within thirty (30) days of the invoice date
• You are responsible for applicable taxes, excluding taxes on our net income
• We may suspend services for accounts that remain past due after written notice

We may change our fees on renewal with at least thirty (30) days' advance notice.

Intellectual Property

AI Outputs and Human Oversight

Our services use artificial intelligence. You acknowledge that:

• Outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for your purpose
• Outputs do not constitute legal, financial, medical, or other professional advice
• Similar outputs may be generated for other customers from similar inputs
• You are responsible for reviewing outputs before relying on or publishing them

You remain accountable for decisions made using our services and for compliance with the laws and policies that govern your organization.

Confidentiality and Data Protection

Each party agrees to:

• Protect the other party's confidential information with at least reasonable care
• Use confidential information only as needed to perform under these Terms
• Limit disclosure to personnel and subcontractors bound by comparable obligations

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Third-Party Services

Our services may integrate with or rely on third-party platforms, model providers, and infrastructure. Those services are governed by their own terms, and we are not responsible for their availability, performance, or practices.

Disclaimers

Except as expressly stated in these Terms or a signed agreement, our website and services are provided "as is" and "as available." We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the services will be uninterrupted, error-free, or produce particular results.

Limitation of Liability

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential, or punitive damages
• Neither party is liable for lost profits, revenue, goodwill, or data
• Our total aggregate liability is limited to the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim

These limits do not apply to your payment obligations, either party's indemnification obligations, or liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold us harmless from third-party claims arising out of your content, your use of the services in violation of these Terms, or your violation of applicable law. We will indemnify you against third-party claims alleging that our services, as provided and used in accordance with these Terms, infringe that third party's intellectual property rights.

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate:

• A subscription at the end of the then-current term, with notice as stated in the order form
• For material breach, if the breach is not cured within thirty (30) days of written notice
• Immediately, where required by law or in response to a serious security or legal risk

On termination, your access ends and you may request an export of your data within thirty (30) days. Provisions that by their nature should survive — including confidentiality, intellectual property, disclaimers, and limitation of liability — survive termination.

Governing Law and Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict of laws rules. The parties agree to attempt in good faith to resolve any dispute informally before initiating proceedings. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in New Hampshire.

Changes to These Terms

We may update these Terms periodically. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of our website or services after the effective date constitutes acceptance of the revised Terms.

General

In addition:

• These Terms, together with any applicable order form or statement of work, are the entire agreement between the parties
• If any provision is found unenforceable, the remaining provisions stay in effect
• Our failure to enforce a provision is not a waiver of our right to enforce it later
• You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets
• Neither party is liable for delays caused by events beyond its reasonable control
